Terms & Conditions

As boring as T&C’s can seem, they are vital for any good relationship between a client and their designer. Here in my Terms and Conditions, you will see the process broken down and how I conduct business.

1. Introduction

These Terms & Conditions govern all services provided by Braindity, a business registered in Belgium under Enterprise Number 0801.682.729, operating under the commercial brand name “On Bulldog Street” (hereinafter referred to as “the Studio”).

The Studio provides branding, visual identity, creative direction, communication design and website-related services.

By accepting a quotation, signing a proposal, confirming by email, or making any payment related to a project, the client acknowledges having read and accepted these Terms & Conditions in full.

These Terms & Conditions apply to all services provided by the Studio unless otherwise agreed in writing.

2. Scope of Services

The Studio provides branding, visual identity, creative direction, communication design and website-related services.

The scope of each project is strictly limited to the elements specified in the approved quotation or proposal.

Any additional request, modification or extension beyond the agreed scope may result in additional fees.

3. Quotations & Validity

All quotations issued by the Studio are valid for 30 calendar days unless otherwise specified.

Pricing, timelines and deliverables included in a quotation are only binding once the quotation has been approved by the client.

4. Payment Terms

A 50% non-refundable deposit is required before any work begins.

The remaining balance must be paid before the final delivery of files, transfer of rights or website launch.

Invoices are payable within 15 calendar days unless otherwise stated.

Late payments may result in:

– project delays,

– suspension of ongoing work,

– withholding of final deliverables,

– additional late fees where legally applicable.

5. Project Timelines

Project timelines provided by the Studio are estimates only and depend on:

– client responsiveness,

– timely feedback,

– content delivery,

– project complexity.

The Studio cannot be held responsible for delays caused by missing information, late approvals or lack of client communication.

If the client becomes inactive for more than 30 days without notice, the project may be considered paused and rescheduled according to the Studio’s availability.

6. Revisions & Approval Process

Unless otherwise specified in writing:

– branding and design projects include up to 3 rounds of revisions on the selected creative direction,

– website projects include 1 consolidated review phase.

Revisions must remain within the scope initially agreed upon.

Additional revisions, new creative directions, major changes or requests made after approval may be billed separately at the Studio’s hourly rate.

Once a deliverable has been approved by the client, any further modifications may incur additional fees.

7. Client Responsibilities

The client agrees to provide:

– accurate information,

– final written content,

– required visuals,

– logos,

– images,

– legal mentions,

– and any necessary materials needed for the project.

The client is solely responsible for ensuring they hold the necessary rights, licenses and permissions for all content supplied to the Studio.

The Studio cannot be held liable for copyright infringements related to materials provided by the client.

8. Intellectual Property

All concepts, drafts, proposals, unused designs and creative explorations remain the exclusive property of the Studio unless otherwise agreed in writing.

Ownership and usage rights of the final approved deliverables are transferred to the client only after full payment has been received.

The Studio reserves the right to display completed work in its portfolio, website, social media and promotional materials unless otherwise agreed in writing.

9. Website Projects

Unless otherwise specified, websites are developed using existing platforms, themes, builders and/or plugins adapted to the project requirements.

The quotation does not include:

– domain name purchase,

– hosting,

– premium plugins,

– advanced SEO,

– custom development,

– maintenance,

– security monitoring,

– external software subscriptions,

– multilingual integrations,

– or third-party platform costs.

The client is responsible for maintaining the website after delivery unless a separate maintenance agreement has been signed.

10. Third-Party Services

The Studio may use trusted third-party providers, tools, plugins, fonts, stock imagery or external services when necessary for the project.

The Studio cannot be held responsible for:

– service interruptions,

– external platform limitations,

– software updates,

– third-party pricing changes,

– or issues caused by external providers.

11. Cancellation

If a project is cancelled after work has begun:

– the initial deposit remains non-refundable,

– all completed work up to the cancellation date may be invoiced,

– and no ownership rights are transferred until payment has been completed.

The Studio reserves the right to suspend or terminate a project in case of abusive behaviour, repeated non-payment, or serious breach of collaboration conditions.

12. Limitation of Liability

The Studio undertakes to provide professional services with care and diligence.

However, the Studio cannot guarantee:

– specific commercial results,

– search engine rankings,

– business performance,

– or marketing outcomes.

The client remains fully responsible for the use of all final deliverables.

13. Governing Law

These Terms & Conditions are governed by Belgian law.

Any dispute arising from the collaboration shall fall under the jurisdiction of the competent courts of Belgium.
